2. Scope of Application
These General Terms and Conditions of Sale (GTCS) apply to all services provided by Synartech a brand of RBO Courtage to professional clients only, in France and abroad.
Any order implies full and unreserved acceptance of these GTCS.

3. Nature of Services
Synartech a brand of RBO Courtage operates in the following areas:

Industrial brokerage

Sourcing, technical purchasing, and supplier negotiation

Costing and procurement
-
Coordination of industrial projects

Subcontracting and business development
Services may be provided:

On a fixed-price basis

By the hour
-
With a margin-based model
-
On a performance/target-based model, in certain cases and by prior agreement

4. Quotation Acceptance
All orders are preceded by a detailed quote, sent by email or via the website platform.
Acceptance may be given by replying to the email or by validating the online approval link.
The signed or validated quote constitutes a binding agreement between the parties.

5. Pricing and Payment Terms
Unless otherwise agreed, prices are expressed in euros, excluding taxes (excl. VAT).
VAT is applied according to current regulations.
Services are invoiced either progressively or at the end of the assignment, as specified in the quote.
Payment terms: 30 days end of month, on the 15th (in accordance with the LME law).
In case of late payment, and without prior notice, the following will apply:

Penalties amounting to three times the legal interest rate

A fixed compensation of €40 for collection costs

6. Order Modification, Postponement and Cancellation
Any request to suspend, postpone or cancel an order must be agreed in writing by RBO Courtage beforehand.
In such cases, Synartech a brand of RBO Courtage reserves the right to charge:

Services already performed

Costs incurred as of the request date

Any applicable partial or total cancellation fees

7. Obligations and Liability
Synartech a brand of RBO Courtage undertakes to use all necessary means to perform the mission in accordance with professional standards.
Under no circumstances shall its liability exceed the total amount invoiced for the service.

8. Confidentiality
Synartech a brand of RBO Courtage places the highest importance on the confidentiality of client information.
Upon request, a non-disclosure agreement (NDA) can be signed prior to any engagement.
All exchanged data is handled confidentially, securely, and never shared without explicit authorization.

9. Intellectual Property
All documents, methods, and materials delivered as part of the services remain the property of Synartech a brand of RBO Courtage, unless otherwise stated in the quote or contract.

10. Governing Law and Jurisdiction
These GTCS are governed by French law.
In the event of a dispute, the Commercial Court of Nantes shall have sole jurisdiction, even in cases of multiple defendants or third-party claims.
